Welcome to AiGeeks Venture Studio ("AiGeeks", "we", "us", "our"). These Terms explain how you may use our website and work with us. By using the site or engaging our services, you agree to these Terms.

Who we are

Scope

These Terms cover:

• Website use - viewing pages, downloads, and contacting us.
• Studio services - any consulting, design, development, automation, hosting assistance, support, or related work we do for you (each engagement is governed by a written Proposal/SoW/MSA that adds details and prevails over any conflict with these Terms).

Using our website

Use the site lawfully. Don't copy, scrape, or misuse content or trademarks. We may change or remove content at any time.

Proposals, SoWs & timelines

Work begins only after written acceptance (email is fine) and any required deposit. Each Proposal/SoW defines scope, deliverables, timelines, acceptance criteria, pricing, and assumptions.

Your responsibilities

You agree to:

• Provide accurate and timely information, assets, and access.
• Nominate a decision-maker and attend reviews/demos.
• Obtain rights to any materials you supply (data, logos, copy, etc.).
• Use the deliverables lawfully and comply with applicable regulation.

Our responsibilities

We will:

• Deliver the services described in the Proposal/SoW using reasonable skill and care.
• Keep your non-public information confidential (see §11).
• Follow security and compliance measures we've agreed in writing.

Intellectual property (IP)

• Your IP: You own the materials you provide. You grant us a licence to use them to perform the services.
• Project IP (work-for-hire): Unless the Proposal/SoW states otherwise, you own the final project deliverables upon full payment (excluding our pre-existing tools and third-party components).
• Studio tools & know-how: We may reuse our pre-existing or generic components, templates, and know-how. We grant you a non-exclusive, perpetual licence to use such components as embedded in your deliverable.
• Open source/third-party: Some solutions rely on third-party or open-source software under their own licences.

Data protection & PDPL (UAE)

• We process personal data as described in our Privacy Notice and, if applicable, a Data Processing Addendum (DPA).
• Hosting is typically in UAE cloud regions (or as specified). You are the Controller for your product data; we are Processor when we handle it on your behalf.
• We implement reasonable technical and organisational measures (e.g., access control/RBAC, MFA, audit logs). Additional controls may be added in your SoW/DPA.

Confidentiality

Each party will treat the other's non-public information as confidential and use it only for the engagement. This duty survives termination.

Fees, deposits & invoices

• Fees are as stated in your Proposal/SoW (e.g., fixed fee, time-and-materials, or rev-share/equity models).
• Deposits/milestones may be required before work continues.
• Invoices are due within 14 days unless stated otherwise. Late amounts may accrue 1.5% per month (or legal max).
• Fees exclude taxes; you are responsible for applicable taxes/duties.

Changes & out-of-scope work

Requests after the SoW is signed may affect price and schedule. We'll confirm impact via a change note before proceeding.

Acceptance

Deliverables are deemed accepted when they meet the SoW criteria or when placed into production use, whichever is earlier. Report material defects within 10 business days of delivery; we will address them promptly.

Third-party services & accounts

Integrations (e.g., cloud, payments, CRMs) require your own accounts and compliance with those providers' terms. We are not responsible for their outages, limits, or policy changes.

Warranties & disclaimers

• Mutual: Each party warrants it has the right to enter this agreement.
• Service warranty: We perform services with reasonable skill and care.
• Disclaimer: Except as stated, services and deliverables are provided "as is." We do not guarantee specific business results (e.g., revenue, fundraising).

Liability cap

To the maximum extent permitted by law, our total liability arising from an engagement is limited to the fees you paid to us for the 6 months preceding the event giving rise to the claim. We are not liable for indirect or consequential losses, lost profits, or loss of data. Nothing limits liability for fraud or wilful misconduct.

Indemnities

• By you: You indemnify us against claims arising from materials you provide (e.g., IP infringement, unlawful data).
• By us: If a deliverable we solely created infringes third-party IP, we will at our option: procure a license, modify/replace the deliverable, or refund the affected fees for that portion.

Non-solicitation (optional)

For 12 months after an engagement, you agree not to directly hire members of our project team without our consent, unless otherwise agreed.

Term, termination & suspension

Either party may terminate for material breach not cured within 14 days of notice. You may terminate for convenience with written notice: we'll invoice for work performed and committed costs. We may suspend work for non-payment or security/legal concerns.

Force majeure

Neither party is liable for delays caused by events beyond reasonable control (e.g., outages, regulatory actions, natural events).

Publicity

We may reference your name and logo as a client and describe high-level work, unless you opt out in writing. We won't disclose confidential details.

Governing law & venue

These Terms and any SoW are governed by the laws of the Dubai International Financial Center (DIFC). Disputes are subject to the exclusive jurisdiction of the DIFC Courts, including the Small Claims Tribunal (SCT) where eligible.

Changes to these Terms

We may update these Terms from time to time. The "Last updated" date will change. For active clients, material changes will be notified by email and apply on renewal or new work orders.
